Terms and Conditions of Use

Last updated: 15/10/2026

1. Introduction

These terms and conditions (hereinafter “T&C”) govern the contracting and use of the AI-powered contract analysis platform called LexyAi (hereinafter “LexyAi”), provided by LexyAi's Responsible Party, the owner identified in the Legal Notice (hereinafter “LexyAi”), which allows Users to access the platform's features.

Provider: LexyAi's Responsible Party (owner identified in the Legal Notice)

Email: soporte@lexyai.app

The User agrees to use LexyAi responsibly and to comply with these T&C, which incorporate this text, the documents referenced herein, and any other specific conditions that may govern particular services, features and functionalities of the platform at any given time.

2. Transparency

LexyAi is an artificial intelligence system with no direct human intervention in the generation of responses. LexyAi is not a law firm and is not authorised to practise law. The information provided is the result of automated document analysis processes, which may contain inaccuracies or be out of date due to changes in legislation and case law.

Use of LexyAi does not create an attorney-client relationship, nor does it constitute the provision of personalised legal services. Analyses are for guidance only: they help the User understand a contract and spot potential risks, but they may contain errors or omissions and do not take into account circumstances not stated in the document. The User is therefore advised to check the analysis with a lawyer before making significant legal decisions —such as signing, terminating a contract or bringing a claim—. LexyAi's commitments regarding the quality of the analysis, and the remedies available to the User if an analysis is defective, are set out in clause 10.

LexyAi is governed, among other applicable laws, by the provisions of Regulation (EU) 2024/1689 of the European Parliament and of the Council of 13 June 2024 (the “AI Act”). In compliance with this regulation, LexyAi is committed to ethical and responsible operations aligned with the principles of transparency, fairness and security, and implements mechanisms to mitigate risks, prevent algorithmic bias and ensure the traceability of its processes.

3. Definition of User

A User is any natural or legal person who accesses or uses LexyAi. The User declares that they are of legal age (18 years or older) and have full legal capacity to accept these T&C and to contract the service. LexyAi is not directed at minors and does not permit their use of it; the service must not be contracted or used by persons who have not reached the age of majority.

To register and obtain an account, the User must provide accurate and complete information. The User may not share their credentials or make their account available to third parties, and is responsible for all activities carried out on it. When creating an account or using LexyAi on behalf of another person or entity, the User declares that they have the necessary authority to accept these T&C on their behalf.

4. Description of the Service

LexyAi is an AI-powered contract analysis platform capable of interpreting and understanding legal documents (PDF, DOCX, TXT) to detect risks, unfair clauses and key points, generating structured reports in plain language. LexyAi is aimed at freelancers, tenants, employees, startups, agencies and SMEs who need to understand contracts without the cost of legal advice.

LexyAi also offers a contract comparison feature, available on Professional and Ultra plans, which allows users to compare two versions of the same document — or, on the Ultra plan, two different offers — to automatically identify clause-by-clause differences, classify their impact (favourable, neutral or unfavourable), determine which option is more advantageous and why, and provide negotiation arguments based on the detected changes. This feature is particularly useful during renegotiation, renewal or revision processes.

LexyAi also includes a Projects feature, available on all subscription plans, which allows the User to organise and group their contracts and analyses into personalised folders by client, document type or any other criterion the User determines, facilitating centralised management of the analysis and comparison history.

In addition, depending on the subscription plan contracted, LexyAi offers complementary management features, such as tracking of key contract dates and obligations with email alerts and reminders, export of those dates to a calendar (.ics format), and AI-assisted generation of counter-offer or negotiation emails ready to send. The specific availability of each feature depends on the active plan, as set out in clause 5.1.

LexyAi is designed to provide general legal information based on legislation applicable in Spain and the European Union, and periodically updates its legal knowledge base. Even so, it does not cover all areas of law and may not reflect very recent legislative or case law changes, so each analysis should be understood as referring to the information available on the date it is generated.

5. Plans, Subscriptions, Free Trial and Credits

Important noticeThis section fully and bindingly governs the economic conditions of the service, including the operation of the free trial period, the credits system, recurring billing, cancellation and the refund policy. The User must read it carefully before subscribing to any plan.

5.1 Subscription plans

LexyAi provides its services exclusively through monthly paid subscriptions. The plans available at the time of the last update of these T&C are as follows:

PlanMonthly priceCredits / month
Starter€14.00 + VAT15 analyses
Professional€39.00 + VAT40 analyses
Ultra€79.00 + VAT100 analyses

LexyAi may modify the prices and features of plans. For active subscriptions, any change will be notified by email at least thirty (30) days in advance and will apply from the first renewal after that period. If the User does not accept it, they may cancel beforehand without penalty, in accordance with clause 13.1.

Launch pricing. The prices shown in the table above are launch prices. A User who subscribes to a plan while it is offered at launch pricing will keep that price on every renewal for as long as the subscription remains active, without interruption, on the same plan; the price increases provided for in the previous paragraph will not apply to that subscription. This guarantee is lost if the subscription is cancelled or ends, or if the User switches to another plan, in which case the price then in force for the new plan will apply. The foregoing is without prejudice to changes in VAT or other applicable taxes.

Each plan carries associated per-document usage and organisation limits: the Starter plan accepts documents of up to 30 pages and 10 MB, and up to 3 projects; the Professional plan, up to 60 pages and 10 MB, and up to 10 projects; and the Ultra plan, with no page limit, up to 30 MB per document and unlimited projects.

5.2 Free trial period

LexyAi offers a free trial period of fourteen (14) calendar days to new Users subscribing to a plan for the first time. During this period the User may use all the features of the selected plan at no charge, with the trial analysis allowance set out in paragraph e) of this clause, which is lower than the plan's monthly allowance.

The free trial is subject, fully and irrevocably, to the following conditions:

  • a)One-time only per identity. The free trial period may only be enjoyed once per natural or legal person, regardless of the number of accounts created, the email addresses used, or any other identifying data. LexyAi employs technical mechanisms — including the recording of cryptographically derived identifiers from the email address — to detect and block repeated use of free trials. Any attempt to circumvent this restriction by creating multiple accounts or using alternative email addresses constitutes a breach of these T&C. In that case, LexyAi will refuse the new trial period and, if the misuse is confirmed, may suspend the accounts created to circumvent this restriction, after informing the User of the reason and granting them seven (7) days to submit their observations. Legitimately contracted paid subscriptions will not be affected.
  • b)Payment method required. A valid payment method (credit or debit card) must be provided to activate the trial period. No charge will be made during the trial period. The payment method will be stored for automatic billing at the end of the trial period, unless the User cancels beforehand.
  • c)Move to paid subscription. By activating the trial, the User subscribes to the monthly plan of their choice with the first fourteen (14) days free. If they do not cancel before those days end, the first monthly fee will be charged to the registered payment method. At sign-up the User is informed that the first charge will be made when the fourteen (14) trial days end, and the remaining trial days can be checked at any time in Settings > Subscription and billing. Cancellation takes one click from Settings > Subscription and billing, at no cost.
  • d)Cancellation during the trial. The User may cancel the subscription at any time during the trial period at no cost, via the Settings > Subscription and billing section of their account. Cancellation during the trial period has the following effects: access to the subscribed plan's features will cease at the end of the trial period, and any remaining analysis credits will be cancelled and reset to zero (0) when the trial ends.
  • e)Analysis allowance during the trial. The trial period includes a limited number of analysis credits, depending on the selected plan: five (5) on the Starter plan, ten (10) on the Professional plan and fifteen (15) on the Ultra plan. This allowance is granted once at the start of the trial, is valid for the fourteen (14) days and is not refilled during the trial. Each analysis consumes one (1) credit and each contract comparison two (2). The plan's full monthly allowance (clause 5.1) is granted with the first effective charge, either at the end of the trial or on the early activation date provided for in paragraph f). If the User changes plan during the trial, the balance is not refilled: the available balance is kept, capped at the trial allowance of the new plan.
  • f)Early plan activation. The User may end the trial period at any time and activate their paid plan from within the platform (in particular, upon using up the trial analysis allowance, or from Settings > Subscription). The amount to be charged will be shown before confirmation. Early activation, which requires the User's express confirmation, has the following effects: (i) the full price of the selected plan, plus applicable VAT, is charged at that moment to the registered payment method; (ii) the plan's full monthly credit allowance is granted immediately, without accumulating the remaining trial balance; (iii) the monthly billing cycle starts on the activation date and the subscription will renew on that same date each month; and (iv) the User waives the remaining free trial days, with no entitlement to compensation for them. If the charge is not completed (for example, because the bank declines it or the payment security verification is not passed), activation does not take place and the trial period continues on the same terms, at no charge.

5.3 Billing and automatic renewal

Subscriptions are billed monthly and in advance, at the start of each billing cycle. The billing cycle begins on the date of the first effective charge — i.e., at the end of the trial period, on the date of early plan activation (clause 5.2.f) or, where no trial applies, on the date of subscription.

The subscription renews automatically at the start of each monthly cycle for the same period and at the same price, unless a change has been notified in accordance with clause 5.1, and unless the User cancels it in accordance with clause 5.5.

The User is responsible for keeping the payment method registered in their account up to date. Inability to process a charge due to causes attributable to the User (incorrect payment details, insufficient funds, expired card, etc.) shall not release the User from their payment obligations.

5.4 Analysis credits system

The monthly subscription gives access to the service with a usage allowance per billing cycle, measured in analysis credits according to the subscribed plan (clause 5.1). Each analysis consumes one (1) credit and each contract comparison two (2). If an analysis or comparison cannot be completed for technical reasons, the credit is automatically returned. The allowance is governed by the following rules:

  • a)Non-cumulative monthly allowance. At the start of each billing cycle, the allowance is renewed with the number of credits of the subscribed plan. Credits not used in one cycle do not carry over to the next. The subscription price corresponds to monthly access to the service, not to a number of analyses actually performed.
  • b)Nature of credits. Credits are the unit used to measure the usage included in the subscription. They are not sold separately, cannot be exchanged for money and are not transferable to third parties. This is without prejudice to the refunds provided for in clauses 5.5, 5.8, 10.2 and 13.1 and in applicable law.
  • c)Credits at the end of the trial period. During the trial period the User will have the trial analysis allowance corresponding to the selected plan, in accordance with clause 5.2.e). If the trial period ends without renewal — whether because the User cancelled, because payment could not be processed for any reason, or for any other cause — the trial allowance ends and the balance is reset to zero (0).
  • d)Credits on subscription cancellation. When the User cancels an active paid subscription, unused credits will remain available until the end of the already-paid billing period. At the end of that period, remaining credits will be cancelled and the balance reset to zero (0), with no entitlement to financial compensation.
  • e)Service reactivation. Recovering analysis credits following a cancellation or plan expiry requires subscribing to a new plan, generating a new complete billing cycle and allocating credits in accordance with the new plan. Credits from previous cycles are not carried over.
  • f)Prevention of abusive use. To guarantee the availability of the service and to prevent fraudulent or automated use, LexyAi may limit usage to fifty (50) analyses per day per account. This limit never reduces the plan's allowance: credits that cannot be used on a given day for this reason remain available for the rest of the cycle.

5.5 Cancellation

The User may cancel their subscription at any time via the Settings > Subscription and billing section of their account, or by contacting customer support at soporte@lexyai.app.

The subscription has no minimum term and no cancellation penalty. Cancellation has the following effects:

  • i.The User keeps access and the available allowance until the last day of the month already paid for, and will not be charged again. Because the period already paid remains fully available, it is neither pro-rated nor refunded, except in the cases provided for in clauses 5.8, 10.2 and 13.1 and in the following paragraph.
  • ii.At the end of that period, the plan reverts to the no-active-subscription tier (“Free”) and any remaining allowance ends.
  • iii.Completed analyses and comparisons remain accessible in the account until the User decides to delete them or delete the account.

If the cancellation is due to a breach by LexyAi or to a service outage lasting more than seventy-two (72) consecutive hours not caused by force majeure, the User will be refunded the pro-rata portion of the period not enjoyed.

5.6 Failed payment and service suspension

If the monthly charge cannot be collected due to causes attributable to the User, LexyAi will proceed as follows:

  • 1.Up to three (3) additional automated collection attempts will be made in the days following the due date.
  • 2.If the charge succeeds during the retries, the subscription continues unchanged. If payment definitively fails, the subscription will end and, with it, the associated allowance, as with a cancellation (clause 5.5).
  • 3.The User will receive an email notification informing them of the failed payment and the cancellation of the subscription.

The User may reactivate the service at any time by subscribing to a plan again, which starts a new cycle with the full allowance of the chosen plan. Their previous analyses remain accessible in the account.

5.7 Plan changes

The User may change their subscription plan at any time from the Settings section, subject to the following rules:

  • a)Upgrade: Upgrading to a higher plan takes immediate effect and requires the User's express confirmation; the amount will be shown before payment. It has the following effects: (i) the full price of the new plan, plus applicable VAT, is charged at that moment, with no pro-rating; (ii) credits equal to the difference between the new plan's monthly allowance and the previous plan's are added to the available balance; (iii) a new monthly billing cycle starts on the date of the change, and the subscription renews on that date each month at the new plan's price; and (iv) the previous subscription will not renew or generate further charges. The amount already paid for the previous plan is neither refunded nor pro-rated, in accordance with clause 5.8.
  • b)Downgrade: Downgrading to a lower plan takes effect at the start of the next billing cycle. Until that date the User will retain the higher plan and its corresponding credits. At the start of the new cycle, the credit balance will be reset to the number of credits of the new plan, with no accumulation of unused credits from the previous cycle.
  • c)Changes during the trial period: Plan changes requested during the free trial period take immediate effect at no additional charge and without restarting the fourteen (14) day period. The credit balance is not refilled: the available balance is kept, capped at the trial allowance of the new plan (clause 5.2.e).

5.8 Refund policy and right of withdrawal

5.8.1 Right of withdrawal. A User contracting as a consumer may withdraw from the contract within fourteen (14) calendar days of its conclusion, without giving any reason, by notifying soporte@lexyai.app or by using the withdrawal form in Annex II.

  • a)With a trial period: cancelling during the trial amounts to withdrawal, at no cost.
  • b)With an immediate charge (early plan activation, clause 5.2.f; plan upgrade, clause 5.7.a; or subscription without a trial period): by confirming the payment, the User expressly requests that the service begin immediately. If they withdraw within the period, the amount paid will be refunded less the proportion corresponding to the service already provided, calculated on the basis of the credits used relative to the plan's monthly allowance.

The refund will be made within a maximum of fourteen (14) calendar days, using the same means of payment.

5.8.2 Other refunds. The pro-rata portion will also be refunded in the cases provided for in clauses 5.5 (breach or service outage), 10.2 (defective analysis) and 13.1 (non-acceptance of material changes), and in any other cases provided for by law. LexyAi will also consider any other request sent to soporte@lexyai.app.

5.8.3 General rule. Outside those cases, the fee for a cycle that has already started is neither pro-rated nor refunded, and unused allowance does not give rise to a refund, in accordance with clauses 5.4 and 5.5.

5.9 Custom Enterprise Plan

In addition to the standard subscription plans set out in clause 5.1, LexyAi offers the possibility of contracting a Custom Enterprise Plan, designed for organisations or users with advanced usage needs, high volumes of analysis, or integration, customisation or support requirements that exceed the features of the available standard plans. The Enterprise Plan is not a pre-configured product and its terms are determined on an individual basis. The following rules govern the Enterprise modality in full and on a non-waivable basis:

  • a)Enquiry process. The interested party must submit a detailed request outlining their requirements — estimated analysis volume, required features, technical integrations, expected service level and any other relevant specifications — to ventas@lexyai.app. LexyAi will acknowledge receipt of each request within a reasonable timeframe, without this implying any commitment to submit a proposal.
  • b)Response to enquiries. LexyAi will respond to each enquiry within a reasonable time and will use reasonable efforts to provide a tailored proposal. If it cannot meet the stated requirements (volume, integrations or service level), it will inform the applicant accordingly, without this creating any obligation to submit a quotation or any right to compensation.
  • c)Individualised quotation. Should LexyAi decide to submit a proposal, it will be formalised in a written individualised quotation detailing the price, payment terms, agreement duration, volume of contracted services, service level (SLA) and any other applicable specific conditions. The quotation will be valid for thirty (30) calendar days from its date of issue, unless a different period is expressly stated. If the quotation is not accepted in writing within that period, it will lapse and LexyAi will have no obligation to maintain the quoted terms.
  • d)Billing and payments. The billing and payment conditions of the Enterprise Plan shall be established on an individual basis in the quotation or in the specific contract signed between the parties. Enterprise Plan payments are not processed through LexyAi's standard payment system and may be made by commercial invoice, bank transfer or other payment methods agreed in writing. Failure to meet agreed payment deadlines shall entitle LexyAi to suspend access to the service and terminate the contract with immediate effect.
  • e)Credits and service usage. The volume of analyses, credits, concurrent accesses and other usage parameters of the Enterprise Plan shall be those expressly agreed in each contract. All matters not specifically regulated in the contract shall be governed on a supplementary basis by the general rules on credits set out in clause 5.4 of these T&C.
  • f)Trial period. The Enterprise Plan does not include a free trial period. Any technical demonstration or evaluation period prior to contracting must be expressly agreed in writing between the parties, and shall be subject to the conditions established in such prior agreement.
  • g)Applicable contractual framework. The Enterprise Plan shall be formalised by entering into a specific contract between LexyAi and the client. That specific contract shall take precedence over these T&C in all matters it expressly regulates. All matters not provided for in the specific contract shall be governed on a supplementary basis by these T&C.

6. Service Availability

LexyAi is designed to operate on an uninterrupted basis, 24 hours a day, 7 days a week, except where temporary suspension of the service is necessary to carry out maintenance, updates, feature improvements or technical support. LexyAi undertakes to use all reasonable efforts to carry out such work diligently, seeking to minimise any possible interruptions.

Where circumstances permit, Users will be notified in advance of any planned interruption. LexyAi will not be liable for suspensions or interruptions due to causes beyond its control, such as force majeure or general failures of third-party infrastructure that LexyAi cannot prevent by acting diligently, unless the interruption is due to LexyAi's negligence in selecting or supervising its providers or to a breach of its security measures. In the event of a prolonged interruption, clause 5.5 will apply.

7. User Obligations

The User must comply with all applicable legislation and these T&C. By way of example and without limitation, the User may not:

  • Use LexyAi in a manner that infringes or violates the rights of third parties, including fraud, identity theft or any other act contrary to applicable law.
  • Use LexyAi to spread false or defamatory information, or information that infringes the honour of LexyAi or of third parties. This does not limit the User's right to freely publish their opinion of the service.
  • Submit false or misleading information, or information that violates the rights of third parties, including racist, xenophobic, offensive, discriminatory content or content that attacks fundamental freedoms.
  • Infringe any intellectual and/or industrial property rights belonging to LexyAi or third parties; in particular, the User may not modify, copy, lease, sell, distribute or commercialise LexyAi, or reverse engineer its components.
  • Take any action that could compromise the security of LexyAi's systems or introduce malware into the system.

Breach of these obligations may lead to the suspension or cancellation of the account under the terms of clause 13.2, without prejudice to any legal action that may be appropriate.

8. User Content and Third-Party Data

This clause is an essential part of these T&C and its express acceptance is a necessary condition for registering with and using LexyAi. The User accepts it upon registration and reaffirms it each time they upload a document to the platform.

8.1 Definitions and scope

“User Content” means any document, file, text or information that the User uploads, enters or makes available to LexyAi through the platform, including the contracts and documents submitted for analysis or comparison. “Third-Party Data” means the personal data, contained in the User Content, of natural persons other than the User, such as the other parties to the contract, their representatives, employees, clients, landlords, tenants, guarantors or any other persons mentioned therein.

This clause applies to all Users, whether they act as consumers or in the course of a business or professional activity, without prejudice to the specific provisions for the latter in clause 8.6 and Annex I.

8.2 User representations and warranties

By accepting these T&C and with each upload of User Content, the User represents and warrants, under their sole responsibility, that:

  • a)They are a party to the uploaded contract or document, act with the express authorisation of a party to it, or hold any other legitimate title entitling them to process it and submit it for analysis.
  • b)They have a valid legal basis, under Articles 6 and, where applicable, 9 and 10 of Regulation (EU) 2016/679 (“GDPR”), to process the Third-Party Data included in the User Content and to disclose it to LexyAi for the purpose of obtaining the requested analysis.
  • c)Uploading and analysing the User Content does not breach any duty of confidentiality, professional secrecy, non-disclosure agreement, intellectual or industrial property right, trade secret or any other third-party right or rule applicable to them.
  • d)The User Content has been lawfully obtained and does not contain malicious software or elements intended to alter the operation of the platform or of the artificial intelligence models used.

LexyAi does not monitor or verify in advance the User Content or the existence of the authorisations or legal bases referred to in this clause, and provides the service relying on the accuracy of the User's representations.

8.3 User obligations towards third parties

With regard to Third-Party Data, the User is responsible for complying with the obligations imposed on them by data protection law and, in particular, for:

  • a)Informing data subjects of the processing of their data where required by applicable law (Articles 13 and 14 GDPR), including, where appropriate, the disclosure of such data to LexyAi as the service provider.
  • b)Handling the requests to exercise rights that data subjects address to them in relation to the User Content. If LexyAi directly receives a request concerning Third-Party Data uploaded by the User, it will forward it to the User without undue delay, without prejudice to LexyAi's own obligations under its Privacy Policy.
  • c)Limiting Third-Party Data to what is strictly necessary for the purpose of the analysis, in accordance with the data minimisation principle (Article 5(1)(c) GDPR), deleting or anonymising before uploading, wherever possible, any data that is not necessary.

8.4 Prohibited uses

It is expressly prohibited to upload to or use in LexyAi:

  • a)Documents obtained unlawfully or without the authorisation of their owner, or whose disclosure is prohibited by law, by a judicial or administrative decision, or by a confidentiality agreement binding on the User.
  • b)Documents containing special categories of personal data (Article 9 GDPR) or data relating to criminal convictions and offences (Article 10 GDPR) whose processing is not necessary for the analysis of the contract, or for which the User lacks a legal basis.
  • c)Documents that are not contracts or other legal documents, or any content uploaded for purposes unrelated to contract analysis, including profiling of third parties, monitoring of individuals or the systematic collection of personal data.
  • d)Copies of identity documents, full payment card details, access credentials, passwords or other information whose inclusion is not necessary for the analysis.
  • e)Content that infringes intellectual or industrial property rights, trade secrets, or the right to honour, to personal and family privacy or to one's own image of third parties.
  • f)Content intended to circumvent the platform's technical measures or to alter the operation of the artificial intelligence models, including hidden instructions or “prompt injection” techniques.

8.5 Liability and indemnity

The User is solely responsible for the User Content, its lawfulness and the accuracy of the representations and warranties set out in clause 8.2.

Consumer Users. A consumer shall be liable to LexyAi for the damage caused by their wilful or negligent breach of this clause, in accordance with applicable civil law.

Professional and business Users. A User acting in the course of a business or professional activity undertakes to hold LexyAi harmless from any claim, lawsuit, request, sanctioning proceeding or action, whether judicial or extrajudicial, brought against LexyAi by third parties or public authorities —including the Spanish Data Protection Agency— as a result of the User's breach of this clause, and to compensate LexyAi for any damages, losses, penalties, expenses and costs arising therefrom, including reasonable legal fees, provided that they are damages actually suffered and proven, and except to the extent that they result from LexyAi's breach of its own obligations as data controller or data processor. LexyAi will promptly notify the User of any claim received and allow them to take part in its defence.

This clause is without prejudice to the obligations that data protection law assigns to LexyAi as data controller or data processor, which LexyAi fulfils as described in its Privacy Policy and, where applicable, in Annex I.

8.6 Professional and business Users

Where the User acts in the course of a business or professional activity —including, by way of example and without limitation, law firms, administrative and tax advisory firms (gestorías), consultancies, agencies, real estate agencies and in-house legal departments— and uploads User Content containing personal data of their clients, employees, suppliers or any other third party:

  • a)The User shall be the data controller of such data, as the party determining the purposes and means of its processing, and LexyAi shall act as data processor on behalf of the User, solely for the purpose of providing the service.
  • b)The User assumes in full the obligations that the GDPR assigns to the data controller, including determining the legal basis, informing data subjects and handling their rights.
  • c)Processing by LexyAi shall be governed by the data processing terms set out in Annex I, which form an integral part of these T&C and which the User accepts together with them, in accordance with Article 28(3) GDPR.
  • d)The User warrants that they hold the necessary authorisations from their clients, principals or employers, and that the use of LexyAi is compatible with the professional secrecy and confidentiality duties applicable to them.

8.7 Measures in the event of breach

If LexyAi becomes aware, by any means, that any User Content breaches this clause, it may delete it, stop the analysis in progress and, in the event of a serious or repeated breach, suspend or cancel the User's account in accordance with clause 13, without prejudice to any legal action that may be appropriate.

9. Licence of Use

LexyAi grants the User a non-exclusive, personal, non-transferable and non-sublicensable, temporary and revocable licence to access and use LexyAi in accordance with these T&C and subject to the subscription to the service.

This licence does not in any case constitute an assignment of intellectual property rights or ownership of LexyAi or its components. The grant of the licence does not imply any transfer of ownership of the platform, which will remain with LexyAi.

10. Limitation of Liability

10.1 Scope of the service. LexyAi undertakes to provide the analysis service with due professional diligence and in accordance with the state of the art. Given its automated and informative nature, the analysis is not guaranteed to be exhaustive or free from errors, and it does not replace advice from a lawyer (clause 2). Decisions the User makes on the basis of the analysis, without checking it with a professional where the importance of the matter so advises, are their sole responsibility.

10.2 Defective analyses. If an analysis does not conform to what was contracted (for example, it is incomplete, does not correspond to the uploaded document or was not generated correctly), the User may request through soporte@lexyai.app that it be repeated at no cost or that the credit used be returned. If the defect persists, they may request a proportionate price reduction or termination of the contract, in accordance with consumer protection law.

10.3 Professional and business Users. Where the User acts in the course of a business or professional activity, LexyAi shall not be liable for loss of profits, loss of business or indirect or consequential damages, and its total liability to that User, on any grounds, shall not exceed the amount paid by them in the twelve (12) months preceding the event giving rise to the claim.

10.4 Liability that cannot be limited. Nothing in this clause excludes or limits LexyAi's liability for wilful misconduct or gross negligence or for personal injury, nor the rights that consumer protection law grants on a mandatory basis.

10.5 External causes. LexyAi is not liable for Users' breaches of these T&C or for the interruptions provided for in clause 6.

11. Privacy and Data Protection

LexyAi has signed Data Processing Agreements (DPAs) with all artificial intelligence providers used in the service, ensuring that User data will not be used to train, improve or feed any AI model. The databases and AI models used in the service are hosted entirely on servers within the European Union. The platform will store the analyses generated linked to the User's profile, solely for the purpose of providing the contracted service.

The processing of third-party personal data contained in the documents uploaded by the User is governed by clause 8 and, where the User acts in the course of a business or professional activity, by the data processing terms in Annex I.

In compliance with GDPR, original files (PDF/DOCX) are kept encrypted only while the analysis is carried out and are deleted automatically when it ends. For more information, please see our Privacy Policy.

12. Intellectual Property

LexyAi shall remain the owner of and retain all rights to LexyAi and each of its components, including improvements, documentation, trade names, logos, trademarks, databases, patents, inventions, copyrights, code, trade secrets and know-how, as well as any other intellectual or industrial property rights recognised under applicable law.

Any act of reproduction, distribution, public communication, transformation or any other form of exploitation of LexyAi's content without the express written authorisation of LexyAi is expressly prohibited.

13. Modifications and Termination

13.1 Modification of the T&C. LexyAi may modify these T&C where there is a valid reason: legal or regulatory changes, security requirements, the addition, modification or withdrawal of features, or changes in service providers.

  • a)Material changes (those affecting the price, the allowance or the User's rights or obligations): will be notified by email at least thirty (30) days before they take effect. If the User does not accept them, they may cancel the subscription before that date without penalty and will be refunded the pro-rata portion of the period paid and not enjoyed.

Annex I. Data Processing Terms (Professional and Business Users)

This Annex governs, in accordance with Article 28 GDPR and Article 33 of Spanish Organic Law 3/2018 on the Protection of Personal Data and the Guarantee of Digital Rights, the processing that LexyAi carries out, as data processor, of the personal data contained in the User Content where the User acts as data controller under clause 8.6. It is accepted by the User together with the T&C and shall prevail over them with regard to such processing.

1. Subject matter, nature and purpose

LexyAi shall process personal data on behalf of the User solely for the purpose of providing the contracted service: extracting text from documents, analysing and comparing them using artificial intelligence, generating, storing and exporting reports, organising them into projects and tracking key dates. Processing operations include collection, recording, structuring, storage, consultation, extraction, automated analysis and erasure of the data.

2. Types of data and categories of data subjects

Identification and contact data, economic and financial data, employment and professional data, data relating to assets and contractual relationships and, in general, any other data contained in the documents uploaded by the User. Data subjects are the parties to the contracts and the other persons mentioned in them, such as clients, employees, suppliers, landlords, tenants, guarantors or representatives of the User or of their clients.

3. Duration and fate of the data

The processing shall last for the same period as the contractual relationship between the User and LexyAi. While it is in force, original files and extracted text are deleted once the analysis has been completed (the text, in any event, within a maximum of three (3) hours); and the reports generated are kept until the User deletes them or cancels their account. Upon termination, LexyAi shall delete the personal data processed on behalf of the User, who may download their reports beforehand. The foregoing is without prejudice to the retention, duly blocked, of any data that may be necessary for as long as liabilities may arise from the performance of the service.

4. Obligations of LexyAi as data processor

  • a)Process the data only on the documented instructions of the User, which consist of these T&C, this Annex and the User's use of the platform's features. LexyAi shall immediately inform the User if, in its opinion, an instruction infringes data protection law.
  • b)Not use the data for its own purposes or to train, improve or feed artificial intelligence models, nor disclose it to third parties except to the sub-processors referred to in section 5 or where required by law.
  • c)Ensure that persons authorised to process the data have committed themselves to confidentiality or are under a statutory obligation of confidentiality.
  • d)Implement appropriate technical and organisational measures in accordance with Article 32 GDPR, including encryption of communications, private storage with per-user access control, access to files through time-limited links and the timely deletion of files and text described in section 3.
  • e)Assist the User, taking into account the nature of the processing, in responding to requests to exercise data subject rights and in complying with the obligations under Articles 32 to 36 GDPR.
  • f)Notify the User without undue delay and, in any event, within forty-eight (48) hours of becoming aware of it, of any personal data breach affecting the User Content, together with the relevant information available to it.
  • g)Make available to the User the information necessary to demonstrate compliance with this Annex and allow for and contribute to audits, which shall preferably be carried out by providing documentation and, where conducted on site, with at least thirty (30) days' notice, no more than once a year and at the User's expense.

5. Sub-processors

The User grants LexyAi a general authorisation to engage the sub-processors identified in section 6 of the Privacy Policy for infrastructure, database, storage, background processing and artificial intelligence model services. LexyAi shall impose on each sub-processor, by contract, the same data protection obligations it assumes under this Annex, and shall notify the User reasonably in advance of any addition or replacement of sub-processors; the User may object on reasonable grounds and, where appropriate, terminate the contract.

6. International transfers

LexyAi shall not transfer the personal data processed on behalf of the User to third countries unless the conditions of Chapter V GDPR are met, by means of adequacy decisions, standard contractual clauses adopted by the European Commission or other appropriate safeguards.

7. Obligations of the User as data controller

The User undertakes to comply with clause 8 of the T&C, to provide LexyAi only with data for which they have a legal basis, to inform data subjects and to ensure, before and throughout the processing, compliance with the GDPR.

8. Precedence

In the event of any conflict between this Annex and a data processing agreement specifically entered into between LexyAi and the User, in particular under the Enterprise Plan, the latter shall prevail.
